History

Historically, the business currently operated by us was operated by the former Ministry of Posts and Telecommunications of the PRC (the "MPT"), which was responsible for the administration of the telecommunications industry in China. As part of the restructuring, the Ministry of Information Industry of the PRC (the "MII") was established in March 1998 to assume the regulatory responsibilities of the MPT. The business operation functions of the former MPT were separated along four business lines: fixed-line, mobile, paging and satellite communications in 1999 with the approval of State Council. The Directorate General of Telecommunications of the former MPT was renamed China Telecom in May 2000 to operate the nationwide fixed-line telecommunications business and specialized telecommunications support businesses.

In accordance with the State Council's comprehensive restructuring plan relating to wireline telecommunication sector in 2001, the telecommunications business of China Telecom was divided geographically into two businesses. Telecommunications business in northern ten provinces, autonomous region and centrally administered municipalities in China (namely Beijing, Liaoning, Tianjin, Hebei, Shandong, Henan, Heilongjiang, Jilin, Neimenggu and Shanxi) was merged with those of China Netcom Corporation and Jitong Communications Co., Ltd. to form China Netcom. China Telecom retained the telecommunications business as well as the specialized telecommunications support services in the remaining southern 21 provinces, autonomous regions and centrally administered municipalities in China (namely Shanghai, Guangdong, Zhejiang, Jiangsu, Anhui, Fujian, Jiangxi, Guangxi, Chongqing, Sichuan, Hubei, Hunan, Hainan, Guizhou, Yunnan, Shaanxi, Gansu, Qinghai, Ningxia, Xinjiang and Tibet) and continued to own the brand name "China Telecom".

Since 2001, China Telecom has carried out a series of restructuring of its telecommunications business, including restructuring of specialized telecommunications support services business. As part of the restructuring, China Telecom transferred its telecommunications operations in Shanghai, Guangdong, Jiangsu and Zhejiang and the related assets and liabilities to China Telecom Corporation Limited. In November 2002, China Telecom Corporation Limited completed its initial public offering on the Hong Kong Stock Exchange and the New York Stock Exchange.

In anticipation of our global offering, China Communications Services Corporation Limited was incorporated on 30 August 2006 as a joint stock company with limited liability by our Promoters. To effect our restructuring, we entered into a restructuring agreement with China Telecom, pursuant to which the restructuring took effect as at 31 March 2006. As part of the restructuring, China Telecom transferred its specialized telecommunications support businesses in Shanghai municipality, Zhejiang, Fujian, Hubei, Guangdong and Hainan provinces, which comprised our then primary service regions, together with the related assets and liabilities, to us. These regions are among the first within the southern 21 provinces, autonomous regions and centrally administrated municipalities which completed the restructuring process. On 8 December 2006, the H shares issued by the Company were successfully listed on the Main Board of the Stock Exchange of Hong Kong Limited.

Our Milestones

2010
  • 7 April 2010
    The Company acquired the remaining 49% equity interests in Guoxin Lucent Technologies Network Technologies Co., Ltd for a total consideration of RMB41 million. After the completion of the acquisition, Guoxin Lucent will be wholly owned by the Company.

2009
  • 24 March 2009
    China Telecommunications Corporation completed the transfers of 506,880,000 and 236,300,000 domestic shares of the Company to China Mobile Communications Corporation and China United Network Communications Group Company Limited.

  • 26 May 2009
    The Company acquired the equity interests in Guoxin Lucent Technologies Network Technologies Co., Ltd. (51%), Shanghai Tongmao Import & Export Co. Ltd. (95.945%) & Shenzhen Telecom Engineering Co. Limited (40%) for a total consideration of RMB115 million.

  • 31 July 2009
    An extraordinary general meeting was held and resolutions were passed to approve the re-elections of the members of the second session of the Board of Directors and those of the Supervisory Committee of the Company. All members of the first session of the Board of Directors and those of the Supervisory Committee continued to hold their office.

  • 29 October 2009
    The Company signed 2009 Supplementary Strategic Agreement with China Telecom Corporation Limited to renew Strategic Cooperation Agreement for three years ending 31 December 2012.

  • 25 November 2009
    The Company and Accenture International Sarl established a joint venture, China Communication Service Application Solution Technology Co., Ltd.
2008
  • 8 April 2008
    Mr. Wang Xiaochu resigned as non-executive director and Chairman of the Company, and was re-designated as the Honorary Chairman. On the same date, Mr. Li Ping was appointed as Chairman of the Company. Mr. Zhang Zhiyong was appointed as President of the Company.

  • 9 April 2008
    The Company completed the placement of 327 million new H Shares with net proceeds of HK$1,668 million.

  • 30 May 2008
    The Company completed the acquisition of the 100% equity interests in China International Telecommunications Construction Corporation at a consideration of RMB505 million.
2007
  • 31 August 2007
    The Company completed the acquisition of the businesses of specialized telecommunications support services in 13 provinces (municipality and autonomous regions) from China Telecommunications Corporation at a consideration of RMB4,630 million.

  • 10 October 2007
    China Communications Services (Hong Kong) International Limited was established.

  • 12 December 2007
    Mr. Zhang Zhiyong and Mr. Yuan Jianxing were appointed as executive directors of the Company.
2006
  • 30 August 2006
    The Company was established, with initial primary service areas including Shanghai, Zhejiang Province, Fujian Province, Hubei Province, Guangdong Province and Hainan Province.

  • 8 December 2006
    The Company was listed on the Main Board of The Stock Exchange of Hong Kong Limited. Gross proceeds from the IPO was about HK$3.3 billion.
